The Company

In late 2022, Hornblower took on the sale of the reputable manufacturing company, Majestic Group, comprised of Majestic Window Designs Ltd (MWD) & and its sister retailing and installation company Majestic Designs (UK) Ltd (MDUK). Hornblower received the mandate to sell these businesses following a recommendation by the company’s accountant, who had worked with us on another of his client’s business.

 

The Situation

After two decades at the helm of the businesses, the owner planned to retire and dedicate more time to his family. As part of the sale process, he indicated a commitment to support the transition period to ensure a seamless and successful move for MWD and MDUK into new ownership.

As a family-run business, Majestic Group had grown the business in alignment with this ethos, as reported in a post-sale Insider Media article, where the owner states, “Over 20 years ago I had a vision to build a company with old fashioned values and integrity”. It was therefore an imperative aspect of the sale to select an acquirer with a similar approach, who would be able to continue the businesses in this vein.

From the outset of the marketing stage, the business generated a good amount of interest and we managed to secure a deal within 7 months of putting business on the market.

 

The Outcome

The business was acquired by the investment firm RDCP Group and represents the buyers first manufacturing acquisition. The deal involved RDCP purchasing a 98% stake in the Majestic Group, with funding structured by SME Capital. As a result of this sale, the Majestic Group can exploit continued growth opportunities which include the company’s geographical expansion into further UK regions, which will be supported fully by the new acquirers.

RDCP is reported to be fully behind working closely with Majestic Group’s existing Managing Director, with its Founder and Chief Executive, Sameer Rizvi commenting that “Majestic is a well-established business with an excellent reputation and customer base. We look forward to working with Jim and the team to expand the business further and help them deliver on the potential of their business”. The sale has also enabled the retirement of the founding owner.

The deal was managed by our Business Sales and Acquisitions Consultant, Mark Sykes. Mark manages business sales for Hornblower across the UK and internationally. The vendors were also advised by Luke Rees of Knights (Legal).
